Media Release Agreement

1. Grant of Rights

By submitting Content to TestimonySong, you grant TestimonySong and its affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit your Content in any and all media formats and channels now known or later developed, including without limitation:

• Website and social media platforms
• Advertising and promotional materials
• Email marketing campaigns
• Print and digital publications
• Video content and presentations
• Third-party partnerships and collaborations

2. Editing and Modification

You authorize TestimonySong to edit, modify, adapt, crop, combine with other materials, add text overlays, music, or other elements, and create derivative works from your Content for any purpose without limitation. This includes but is not limited to adjustments for format, length, clarity, or promotional effectiveness.

3. Compensation

Unless otherwise specified in a separate written agreement:

• Video testimonial submissions may be eligible for gift card incentives as advertised at the time of submission
• TestimonySong reserves the right to modify, suspend, or discontinue incentive programs at any time
• Beyond any stated incentive, you understand that no additional compensation, royalties, or attribution is guaranteed for current or future use of your Content

4. Your Representations and Warranties

By submitting Content, you represent and warrant that:

• You are at least 18 years of age or have parental/guardian consent
• You own or have obtained all necessary rights, licenses, and permissions to the Content
• All persons appearing in the Content have given their consent to be recorded and for their likeness to be used as described herein
• The Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party
• The Content does not contain any material that is defamatory, obscene, illegal, or otherwise objectionable
• The Content is accurate and truthful to the best of your knowledge

5. Release of Claims

You hereby release, discharge, and hold harmless TestimonySong, its owners, employees, agents, contractors, affiliates, and licensees from any and all claims, demands, or causes of action that you may now have or may hereafter arise related to the use of your Content as authorized by this Agreement, including but not limited to:

• Claims for invasion of privacy or publicity rights
• Claims for defamation or false light
• Claims for emotional distress
• Claims for copyright or trademark infringement
• Any other claims arising from the use of your Content

6. Irrevocability

You understand and agree that all rights and permissions granted in this Media Release Agreement are irrevocable. Once you submit Content to TestimonySong, you cannot revoke, withdraw, or terminate the rights granted herein. This irrevocability applies regardless of whether you later change your mind, discontinue your relationship with TestimonySong, or for any other reason.

7. No Obligation to Use

TestimonySong is under no obligation to use any Content submitted. The decision to use, display, or publish any Content is at TestimonySong's sole discretion.

8. Indemnification

You agree to indemnify, defend, and hold harmless TestimonySong from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your breach of any representation, warranty, or obligation under this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between you and TestimonySong regarding the subject matter hereof and supersedes all prior or contemporaneous understandings, whether written or oral.
